We have a DLL develop in VB6 which uses FTPDLX (2.7.4) and SMTP (1.3.0). I would like to know if we install this DLL on Windows 2003 Server 64-bit all will work fine. Are there any issues will should be aware of before moving to 64-bit OS?

I don't see why not. Your app is 32bit app and DLLs are too, so there should be no issues. We have tested on such environment and experienced no problems.
